By accessing or using the CertSentry website or Service, You agree to be bound by these Terms of Use. If You do not agree to these terms, You must stop using the Service immediately.
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms.
In these Terms:
- “Account” means the user account created to access the Service, including Professional and Business tiers.
- “Confidential Information” means non-public information disclosed by one party to the other, including business strategies, customer data, and technical know-how.
- “Intellectual Property Rights” means all copyright, trademarks, design rights, database rights, patents, and rights in software, whether registered or unregistered.
- “Service” means the CertSentry online compliance and certificate reminder platform.
- “User Data” means any data, certificates, or documents inputted into the Service by You.
- “Business Day” means a day other than a Saturday, Sunday, or public holiday in England.
CertSentry grants You a non-exclusive, non-transferable right to access and use the Service for your internal business purposes. You must not:
- Use the Service for any unlawful activity or to store infringing, obscene, or malicious material.
- Copy, reproduce, distribute, or create derivative works based on the CertSentry software.
- Attempt to decompile, reverse engineer, or disassemble the underlying software.
- Introduce viruses, trojans, or other harmful code into the Service.
- Resell or sublicense the Service without our prior written consent.
We use reasonable endeavours to make the Service available at all times. However, service availability may be affected by:
- Scheduled Maintenance: We will aim to perform updates outside of UK Business Hours and provide advance notice where possible.
- Emergency Maintenance: Required immediately to secure the platform.
- Force Majeure: Events beyond our control, including internet provider failures, cyber-attacks, or natural disasters.
CertSentry does not warrant that the Service will be uninterrupted or error-free.
Subscription Fees: You agree to pay the fees applicable to your plan (e.g., Professional or Business) as displayed on our Website. Fees are billed in advance on a monthly or annual basis.
Automatic Renewal: Subscriptions renew automatically unless cancelled via your dashboard before the renewal date.
Taxes: Fees are exclusive of VAT or other applicable taxes, which You are responsible for paying.
Non-Payment: If we cannot process payment, we may suspend access to your Account until payment is received.
Your Data: You retain all ownership rights to your User Data. You grant CertSentry a license to host, copy, and process your User Data solely to provide the Service to You.
Our IP: CertSentry retains all rights to the Service code, design, and "Insight Data" (anonymized, aggregated usage statistics used to improve the platform).
Data Loss: While we perform backups, You are responsible for maintaining your own copies of original certificates. We exclude liability for data loss to the fullest extent permitted by law.
No Warranty: The Service is provided "as is." We do not guarantee it will meet your specific requirements or be compatible with your specific hardware.
Liability Cap: To the extent permitted by law, CertSentry’s total liability to You for any claim arising out of this Agreement shall be limited to the total fees paid by You in the 12 months preceding the incident.
Exclusions: We are not liable for indirect loss, loss of profits, loss of business, or loss of goodwill. Nothing in these terms excludes liability for death/personal injury caused by negligence or fraud.
By You: You may cancel your subscription at any time via the dashboard. Access remains active until the end of the current billing period.
By Us: We may terminate or suspend your account immediately if:
- You breach these Terms (including non-payment).
- You become insolvent or enter administration.
- We are required to do so by law.
Upon termination, You must cease using the Service. We may delete your User Data after a grace period (typically 30-90 days).
- Assignment: You may not assign this contract without our consent. We may assign it to a group company or acquirer.
- Severability: If any part of these Terms is found invalid, the rest remain in effect.
- Entire Agreement: These Terms constitute the entire agreement between us regarding the Service.
- Third Parties: No third party has rights to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
